Terms of Service

Please review these Terms of Service ("Terms") thoroughly. They constitute a legally binding agreement between you and Arca ("we," "us," "our," or the "Platform") regarding your access to and use of our website and recruitment services.

By creating an account, you represent that you are at least 18 years of age and possess the legal authority to bind yourself or your company to these Terms. If you do not agree to these Terms, you must immediately cease using our platform.

1. SCOPE OF SERVICE

Our platform provides a marketplace where American business entities ("Clients") can discover and recruit remote professionals based in the Philippines ("Talent"). We provide these services on an "AS IS" and "AS AVAILABLE" basis. We reserve the exclusive right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice or liability.

2. REGISTRATION & ACCOUNT INTEGRITY

Accuracy: You agree to provide truthful, current, and complete information during registration.
Exclusivity: Each Service Account is for the sole use of the registered individual or entity.
Clients: You may only use the Platform to hire for your own internal business needs. You are strictly prohibited from using the Platform as a recruitment agency to hire for third-party clients.
Talents: You must represent yourself. Account "renting," sharing, or creating accounts for agencies is a material breach.
Security: You are responsible for maintaining the confidentiality of your credentials. Any activity under your account is your legal responsibility.

3. SUBSCRIPTION, PAYMENTS, & REFUNDS

Fees: Access to certain features requires a subscription fee. Prices are listed in USD and are inclusive of applicable taxes.
Satisfaction Guarantee: We offer a 31-Day Satisfaction Guarantee. If you are unsatisfied within the first 31 days of your initial subscription, you may request a refund.
Limit: Only the most recent payment is eligible for a refund. One refund per customer/company.
Forfeiture: No refunds will be granted to users who violate these Terms, engage in illegal conduct, or attempt to circumvent a ban (digital trespassing).
Cancellation: Subscriptions are recurring. It is the user's responsibility to cancel their subscription via their dashboard or payment processor before the next billing cycle.

4. PROFESSIONAL CONDUCT & PROHIBITIONS

To maintain a safe environment for all parties, the following activities are strictly prohibited:

Exploitation: Unpaid trials, unpaid training periods, or "test tasks" that provide value to the Client without compensation are forbidden.
Compensation Structure: All roles must offer a base salary. "Commission-only" roles are prohibited.
Adult Content: We do not allow any jobs related to the adult, NSFW, or pornographic industries, including editing, chat support, or administrative work for such businesses.
Financial Fraud: Jobs involving money transfers, cryptocurrency "muling," or purchasing goods on behalf of the employer are prohibited.
Direct Competition: You may not use this Platform to monitor performance for competitive benchmarking or to solicit our users to join a competing service.

5. INTELLECTUAL PROPERTY

All software, algorithms, user interfaces, branding, and content provided by the Platform are the property of Arca or its licensors.

License: We grant you a limited, non-transferable, revocable license to use the Platform for internal recruitment purposes.
Restrictions: You shall not copy, reverse-engineer, mirror, or "scrape" the Platform using automated tools (bots/crawlers) without express written consent.

6. THIRD-PARTY LINKS & CONTENT

Our site may contain links to third-party websites or advertisements. We do not endorse and are not responsible for the content, products, or services offered by third parties. Your interactions with third parties found through our platform are solely between you and that party.

7. TERMINATION

We reserve the right to terminate or suspend your access immediately, without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users or the Platform's interests. Upon termination, your right to use the Service ceases immediately, and you must delete any proprietary output in your possession.

8. INDEMNIFICATION & LIMITATION OF LIABILITY

Indemnity: You agree to indemnify and hold harmless Arca, its officers, and employees from any claims, damages, or legal fees arising from your use of the Platform or your violation of these Terms.
Disclaimer: We make no warranties that the Platform will be uninterrupted, error-free, or free of viruses. We are not responsible for delays caused by the internet or electronic communications.
Liability Cap: To the maximum extent permitted by law, our aggregate liability shall not exceed the total amount paid by you to the Platform in the twelve (12) months preceding the claim.

9. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of Massachusetts, USA. You agree that any legal action arising out of these Terms must be filed in the courts located in Suffolk County, Massachusetts within one (1) year after the cause of action arose; otherwise, such claim is permanently barred.

10. AFFILIATE PROGRAM (If Applicable)

If you participate in our Affiliate Program, you agree to the following:

Payment: Commissions are paid after a 30-day holding period to account for refunds.
Prohibited Methods: No "cookie stuffing," PPC bidding on our brand name, or incentivized traffic (cashback). Self-referrals are not permitted.
Deactivation: We reserve the right to void commissions and deactivate accounts suspected of fraudulent activity or misleading advertising.

11. ENTIRE AGREEMENT

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Arca. If any provision is found invalid, the remaining provisions shall remain in full force and effect.
